Registering a Polish sp. z o.o. step by step

A sp. z o.o. is the most popular business form in Poland for projects with partners or higher risk. You can incorporate one in two ways: online via the S24 portal or at a notary with a tailored deed of formation.

S24 or notary

The S24 route lets you register a company in 24 hours using a template deed, with a minimum share capital of 5,000 PLN funded only by a cash contribution. The notarial route offers full flexibility — it allows in-kind contributions, custom capital structures and bespoke contractual clauses.

Documents and deed data

  • Company name, registered office, scope of activity (PKD codes).
  • Shareholder and board member data with PESEL or ID document numbers.
  • Share capital amount and the number and value of each shareholder's shares.
  • Representation rules and any clauses on proxy (prokura) or supervisory board.

Post-registration filings

Once entered into the KRS, the company automatically receives its NIP and REGON. In addition you must file supplementary data on NIP-8, register for VAT-R (if the company will be an active VAT payer) and notify ZUS for the insurance of those entitled to remuneration. Remember also to register the ultimate beneficial owner in CRBR within 14 days of the KRS entry.
